Montenegro Company Law is based on the principle of equal treatment, allowing international investors to have the same rights and liabilities as local investors.
On the basis of the Law on Business Organizations the following forms of business organizing are possible in Montenegro:
A Limited liability company (D.O.O.) is a most common form of business registration in Montenegro. Its main characteristics include: Can be founded by natural or legal persons, foreign or domestic (from 1 up to 30); Founders are responsible for company’s obligations up to the amount of their deposits; The minimum amount of initial capital is 1.00 Euro; Simple management procedures; Large range of activities that you can handle; Being owner or co-owner of Montenegrin company you create the basis to obtain a residence and work permit for owner and his family; It has to contain “LLC or LTD” (D.O.O.) designation in its name; Owners of the LLC (D.O.O.) have shares which represent percentage of capital in the ownership.
Company registration (D.O.O.) can be done remotely without your coming in Montenegro, using the power of attorney. In order to make the power of attorney we need you to send us on our email: info@virtualofficemontenegro.com, following information: 1. Company name; 2. Company address, i.e. company headquarters (you can optionally register the company at our address); 3. Decide what shall be the core business of the company. Please check List of Economic activities; 4. Copy of passport of the founder; 5. Copy of passport of the executive director (same person can be founder and executive director). After you send us information above, we will make and send you power of attorney. It has to be notarized and apostilled before you send us it back.
